Welcome to PalMate Connect. These Terms of Service (“Terms”) constitute a binding
legal agreement between you (“you,” “your,” or “user”) and PalMate LLC (“PalMate,”
“we,” “our,” or “us”), governing your access to and use of our website, mobile
application, and related services (collectively, the “Service”).
By creating an account, accessing, or using the Service in any manner, you
acknowledge that you have read, understood, and agree to be bound by these Terms,
as well as our Privacy Policy, which is incorporated by reference into these Terms. If
you do not agree, you may not access or use the Service.
Please review these Terms carefully, as they contain important information about your
rights, responsibilities, and obligations when using PalMate Connect, including
limitations of liability, dispute resolution procedures, and user conduct requirements.

1. Eligibility
To use the Service, you must be at least 18 years old and have the legal capacity to
enter into a binding contract. By accessing or using PalMate Connect, you represent
and warrant that you meet this minimum age requirement.
You are responsible for ensuring that your use of the Service complies with all
applicable laws and regulations in your jurisdiction. PalMate reserves the right to
suspend or terminate your account if we reasonably believe you do not meet these
eligibility criteria or if your use of the Service is unlawful or inconsistent with these
Terms.

    2. User Accounts
    To access certain features of the Service, you must create an account and provide
    accurate, current, and complete information. You agree to keep your account
    information updated at all times so that we can maintain accurate records and provide
    effective support.
    You are responsible for maintaining the confidentiality of your login credentials and for
    all activities that occur under your account, whether authorized by you or not. If you
    suspect unauthorized access or use of your account, you must notify us immediately at
    support@palmatellc.com.
    PalMate reserves the right to suspend, restrict, or terminate your account at our sole
    discretion if we believe you have provided false information, violated these Terms, or
    otherwise engaged in conduct that may harm the Service, other users, or PalMate itself.

    3. Services Provided
    PalMate Connect provides an online platform that facilitates the connection of
    individuals seeking companionship or assistance (“Clients”) with independent
    companions (“PalMates”). We act solely as a technology intermediary and do not
    provide companionship or related services ourselves.
    PalMate Connect is not an employer, agent, or partner of any user. We do not
    supervise, monitor, or control the actions of PalMates or Clients, and we disclaim all
    liability for the conduct, safety, suitability, or performance of any user. All interactions,
    whether online or in person, are undertaken at your sole risk, and you are solely
    responsible for taking appropriate precautions.
    For safety purposes, we may, but are not obligated to, provide features such as identity
    verification or background checks. Where offered, these checks are limited in scope and
    accuracy, may rely on third-party providers, and are not a guarantee of any user’s
    character, safety, or reliability. You acknowledge and agree that the use of such features
    does not replace your responsibility to exercise judgment and caution in your
    interactions.

    4. Prohibited Uses
    You agree not to use the Service to:

    • engage in unlawful, harmful, threatening, abusive, or harassing conduct;
    • impersonate another person or misrepresent your identity;
    • upload, post, or share content that is false, misleading, defamatory, obscene, or
      infringing;
    • attempt to circumvent or disrupt the security, integrity, or performance of the
      Service;
    • use automated scripts, bots, or scrapers without our prior consent;
    • engage in any activity that could damage, disable, or impair the Service or its
      users.
      We reserve the right to investigate and take appropriate legal action for violations,
      including account termination and reporting to authorities.

    5. Payments & Fees
    Access to certain features of the Service may require payment of fees. Clients may
    choose to use the Service free of charge where available or subscribe to a paid plan,
    while PalMates may be subject to subscription, booking, or transaction fees. Details of
    applicable fees will be clearly disclosed at the time of purchase or subscription.
    Where permitted, certain fees (including percentage-based booking fees) may be
    processed via Stripe or other third-party payment processors. Fees may vary by region,
    service category, or promotional offers, and will always be disclosed at checkout before
    you complete payment. By providing your payment information, you authorize PalMate
    and its payment partners to process charges in the applicable currency, including any
    taxes, levies, or transaction fees required by law.
    All payments are final and non-refundable, except where (i) required by law, or (ii)
    explicitly stated in a Service-specific policy. If a PalMate cancels or fails to appear for a
    scheduled booking, you may be eligible for a limited credit as described during
    checkout. Credits are not redeemable for cash, may only be applied to future bookings,
    and may be subject to expiration as communicated at the time of issuance.
    All payments are processed securely by independent third-party providers. PalMate
    does not control and is not responsible for errors, delays, or failures caused by these
    providers.
    Some paid services are offered on an auto-renewing subscription basis. By enrolling,
    you agree that your subscription will automatically renew at the stated interval unless
    you cancel before the renewal date. We will provide clear notice of auto-renewal terms
    at sign-up, including instructions for managing or cancelling your subscription. You may
    cancel your subscription at any time through your account settings, but partial periods
    are non-refundable unless otherwise required by law.

    6. Safety & Conduct
    You agree to use the Service responsibly and to treat all other users with dignity and
    respect. Prohibited conduct includes, but is not limited to, harassment, abuse, threats,
    discrimination, fraud, impersonation, exploitation, unlawful activity, and any behavior
    that may endanger the safety or well-being of others.
    PalMate provides optional safety features such as profile verification and location
    tracking, to help promote safer interactions. These tools are intended as supplementary
    aids only. We do not guarantee that they will always function correctly, and they are not
    a substitute for your own judgment and precautions. You acknowledge that all
    interactions, including in-person meetings, are undertaken at your own risk.
    PalMate reserves the right to suspend, restrict, or terminate any account if we believe a
    user has violated these standards or otherwise engaged in conduct harmful to the
    Service, its users, or the public.

    7. Content & Reviews
    You may post reviews, feedback, and other content through the Service, provided that
    such content is accurate, lawful, and respectful. You agree not to post or transmit any
    content that is false, misleading, defamatory, harassing, obscene, discriminatory,
    infringing on third-party rights, violates privacy, or otherwise inappropriate. You remain
    solely responsible for the content you submit and any consequences arising from it.
    PalMate reserves the right, but not the obligation, to monitor, review, edit, or remove any
    content at our sole discretion, including where we believe it violates these Terms or
    applicable law. Our failure to remove or moderate particular content does not waive our
    rights or create liability on our part.
    By submitting content to the Service, you grant PalMate a non-exclusive, worldwide,
    royalty-free, transferable, and sublicensable license to use, display, reproduce,
    distribute, and adapt such content solely for the purpose of operating, promoting, and
    improving the Service. This license survives termination of your account only to the
    extent necessary to maintain the integrity of the Service (e.g., retaining reviews on past
    transactions).

    8. Third-Party Services & Links
    The Service may contain links to or integrate with third-party websites, applications, or
    services, such as payment processors, mapping providers, or messaging tools. These
    third parties are independent of PalMate, and we do not endorse, control, or assume
    responsibility for their availability, accuracy, legality, content, products, or services.
    Your use of third-party services is at your own risk and may be subject to separate
    terms and privacy policies issued by those providers. PalMate is not a party to and is
    not responsible for any transactions, communications, or disputes between you and
    such third parties.
    We make no warranties, express or implied, regarding third-party services, and we are
    not liable for any loss or damage arising from your use of or reliance on them.

    9. Indemnification
    You agree to indemnify, defend, and hold harmless PalMate LLC, its officers, directors,
    employees, agents, contractors, partners, licensors, and affiliates from and against any
    and all claims, demands, damages, losses, liabilities, costs, or expenses (including
    reasonable attorneys’ fees) arising out of or relating to:

    • your access to or use of the Service,
    • your breach of these Terms,
    • your violation of any applicable law or regulation, or
    • your infringement of the rights of another user or third party.
      PalMate reserves the right, at your expense, to assume the exclusive defense and
      control of any matter subject to indemnification by you, and you agree to cooperate with
      us in defending such claims. This indemnification obligation will survive termination of
      your account or use of the Service.

    10. Limitation of Liability
    The Service is provided on an “as is” and “as available” basis without warranties of any
    kind, whether express, implied, or statutory, including without limitation warranties of
    merchantability, fitness for a particular purpose, title, and non-infringement. PalMate
    does not warrant that the Service will be uninterrupted, error-free, secure, or free of
    harmful components.
    To the maximum extent permitted by law, PalMate LLC, its officers, directors,
    employees, affiliates, and licensors shall not be liable for any indirect, incidental,
    consequential, special, exemplary, or punitive damages, including but not limited to lost
    profits, lost data, reputational harm, personal injury, emotional distress, or financial
    losses, arising from or in connection with your use of the Service.
    Our total liability to you for any and all claims arising under these Terms or related to
    your use of the Service shall not exceed the greater of: (i) one hundred dollars (USD
    $100) or (ii) the total amount you paid to PalMate in the six (6) months preceding the
    claim. This limitation applies to all claims, whether in contract, tort, strict liability, or
    otherwise.
    Nothing in these Terms shall exclude or limit liability where such exclusion or limitation is
    prohibited by law, including for death or personal injury caused by negligence, fraud, or
    willful misconduct.

    11. Termination
    You may close your account and discontinue use of the Service at any time through
    your account settings. Please note that certain information may continue to be retained
    as described in our Privacy Policy (for example, for legal, regulatory, or safety
    purposes).
    PalMate reserves the right, at our sole discretion, to suspend, restrict, or terminate your
    account or access to the Service at any time, with or without notice, if we believe you
    have violated these Terms, engaged in fraudulent or unlawful activity, posed a safety
    risk, failed to pay applicable fees, or if required to comply with law or regulatory
    obligations.
    Upon termination, your right to use the Service will cease immediately. Certain
    provisions of these Terms including but not limited to content licenses, indemnification,
    limitation of liability, and dispute resolution will survive termination.

    12. Dispute Resolution & Arbitration
    Most concerns can be resolved quickly by contacting us at support@palmatellc.com. If
    we cannot resolve a dispute informally, you and PalMate agree to resolve any claim,
    dispute, or controversy arising out of or relating to these Terms or the Service through
    binding arbitration on an individual basis.
    Arbitration shall be conducted by the American Arbitration Association (“AAA”) under its
    Consumer Arbitration Rules, and judgment on the award rendered by the arbitrator may
    be entered in any court of competent jurisdiction. The arbitration will take place in Texas,
    U.S.A., unless you and PalMate agree otherwise.
    You and PalMate each waive the right to a jury trial and the right to participate in class
    actions or representative proceedings. Claims must be brought in your individual
    capacity only.
    Each party will bear its own attorneys’ fees and costs, except as may be required by
    applicable law.
    This arbitration agreement does not prevent you or PalMate from bringing a claim in
    small claims court where jurisdictional requirements are met. You may also opt out of
    this arbitration agreement by sending written notice to 9355 John W. Elliott Dr., Ste
    25508, Frisco, Tx 75034 within thirty (30) days of creating your account.
    For users located outside the United States, this arbitration provision does not deprive
    you of mandatory protections under the consumer laws of your country of residence.

    13. Governing Law and Jurisdiction
    These Terms and any dispute or claim arising out of or relating to them shall be
    governed by and construed in accordance with the laws of the State of Texas, U.S.A.,
    without regard to conflict-of-law principles.
    If the arbitration clause in this agreement is found not to apply to a particular claim, or if
    you opt out of arbitration, you agree that such claim shall be resolved exclusively in the
    state or federal courts located in Texas, and you consent to the personal jurisdiction of
    such courts.
    Nothing in this clause limits PalMate’s right to seek injunctive or equitable relief in
    any jurisdiction, including to protect our intellectual property rights or prevent
    unauthorized use of the Service.

    14. Changes to These Terms
    We may revise or update these Terms from time to time to reflect changes in our
    practices, legal requirements, or the features of the Service. When we make updates,
    we will update the “Last Updated” date at the top of this page.
    If we make changes that materially affect your rights or obligations, we will provide you
    with at least thirty (30) days’ advance notice by email, in-app notification, or other
    reasonable means. Examples of material changes include significant modifications to
    payment terms, dispute resolution procedures, or user conduct requirements.
    If you do not agree with the updated Terms, you may close your account before the
    changes take effect. Continued use of the Service after the effective date of any
    update constitutes your acceptance of the revised Terms.

    15. Force Majeure
    PalMate shall not be liable or deemed in breach of these Terms for any delay or failure
    in performance resulting from causes beyond our reasonable control, including but not
    limited to natural disasters, pandemics, acts of government, labor disputes, power
    outages, internet failures, cyberattacks, or failures of third-party providers.
    In such cases, PalMate’s obligations shall be suspended for the duration of the event,
    and we will make reasonable efforts to resume the Service as soon as practicable.

    16. Severability and Waiver
    If any provision of these Terms is found to be invalid, illegal, or unenforceable, the
    remaining provisions shall remain in full force and effect.
    No waiver by PalMate of any term or condition shall be deemed a further or continuing
    waiver of such term or condition or a waiver of any other provision, and our failure to
    assert a right or enforce a provision shall not constitute a waiver.
